Why you chose to focus in these areas:

In a developing country like India, the growth imperatives warrant an investment requirement of about $1 trillion for infrastructure during 2012-17 with 47 per cent of this projected to come from private sector. The energy sector has been among the most dynamic and fast growing infrastructure sectors in country with an evolving legal and regulatory jurisprudence. As a result, the aforementioned practice areas provide an opportunity to work on intricate and challenging cross-border and domestic transactions. Further, as a commercial lawyer you get to understand the business side of the transaction and come out with innovative structures and solutions without compromising on the interests of your client.

Details of the matter that you have worked on in your career to date that you are most proud of, and why:

Advised the Indian promoters of Hero Honda Motors Limited (now Hero MotoCorp Limited) regarding their acquisition of Honda Motor’s (the foreign joint venture partner of Hero Honda) entire stake in Hero Honda for an approximate consideration of 38 billion rupees (approximately $800 million). It was a very complex transaction involving various regulatory and structuring issues. Also, as part of the transaction, advised HeroMoto Limited on transitional licence arrangement from Honda and freedom to operate issues post Honda exit.

Advised Hero Investments Private Limited, the Indian promoters of Hero Honda Motors Limited (now Hero MotoCorp Limited), in relation to the private equity investment of approximately 35 billion rupees (approximately $795 million) in Hero group entity. I advised Hero on structuring, drafting and negotiating transaction documents with multiple private equity investors (including advising on exit options, exchange control laws and regulatory compliances) and providing closing assistance in relation to the transaction.

Acted as the Indian Counsel to Standard Chartered Bank and International Finance Corporation for the credit facility of up to $750 million to be made available to Cairn Energy Hydrocarbons Limited for its ongoing projects in Rajasthan including its pipeline. Cairn has a significant E&P acreage in Rajasthan. This deal won the International Financial Law Review Project Finance Deal of the Year award for 2010.

Advised HCL Technologies in its offshore Acquisition of 100 per cent equity of AXON Group Plc. (an LSE listed company) for £441 million pursuant to the UK City Takeover Code.
