Mr Dandiwala has an extensive corporate commercial law practice both in contentious and non-contentious matters including arbitration and alternate dispute resolution. In dispute resolution, he has focused on corporate disputes.
His corporate area practice is broad based, with extensive experience in intricate transactions including mergers, acquisitions, joint ventures, etc. He acts for large Indian business houses and also for MNCs in their corporate transactions. His scope of work extends to structuring and rendering advice on the most tax efficient structures. His key transactions include: the acquisition of IT business of Phoenix Global Solutions Inc; the acquisition of Airlines Finance Services (India) Ltd; the acquisition of CMC Ltd by Tata Consultancy Services; the merger of HindLever Chemicals Ltd, a listed company with Tata Chemicals Ltd; and the acquisition of Fortune India Ltd by Convansys Inc US. He has also represented Mosbacher Energy US in their venture with Indian partners.
As a leading corporate lawyer, he has the expertise to handle disputes arising out of shareholders agreements and business transfer agreements before the company law board and company courts. In one such corporate litigation, he is representing two foreign body corporates (holding a 36 per cent stake) in a public listed company, wherein successful injunction orders have been obtained.
He has handled matters of infrastructure projects, corporate and project finance and real estate.
While advising clients in acquisitions, he also focuses on protection of IP rights. His IP practice extends to handling court actions both in respect of passing off and infringement.
